Terms of Service

Plain-language terms — under formal legal review. These terms are written in plain language and reflect exactly how we operate today. They are undergoing formal legal review; if anything here concerns you, write to support@cmtechsoftware.io and we'll respond directly.

Summary

cmtechsoftware.io is the website of CM Tech Software, a veteran-owned business based in Reno-Sparks, Nevada (United States) and operated by Chris Martinez. We're a software company: we build, host, and operate our own SaaS Suite. The CM Tech Software Suite — the Soft-Con Tracker, SkillVault, and MyVaultMate modules, bundled together — is sold and billed on this site as one subscription; the three modules are not sold separately. By using the site you agree to these terms. The site and the Suite are provided "as is." We're not liable for indirect or consequential damages from your use of the site or the Suite. Nevada law applies.

1. Acceptance

By accessing or using cmtechsoftware.io ("the site"), creating an account, submitting a form, starting a free trial, or subscribing to the Suite, you agree to these Terms of Service and to our Privacy Policy. If you don't agree, please don't use the site.

2. Who we are

CM Tech Software is a veteran-owned software company based in Reno-Sparks, Nevada, operated by Chris Martinez, that builds and operates its own SaaS Suite. "We," "us," and "our" refer to CM Tech Software. Contact: support@cmtechsoftware.io · (775) 229-2579.

3. Site content

Marketing copy, blog posts, product descriptions, pricing, and downloadable resources are provided in good faith and are accurate to the best of our knowledge at the time of publication. We may update or remove any page without notice. Current subscription pricing is what's shown on the plan/checkout page and stated on each invoice.

4. Customer accounts

You may create a customer account to start a free trial, manage your subscription, see your invoices, and manage your details. By creating an account:

  • You confirm you're at least 18 years old and authorized to enter into agreements on behalf of any organization you list.
  • You're responsible for keeping your password secure. If you suspect your account has been compromised, contact us immediately.
  • For your security, signed-in sessions are automatically signed out after one hour of inactivity (you'll see a warning shortly before). Just sign in again to continue.
  • You agree to provide accurate information and keep it current.
  • We may suspend or terminate any account that violates these terms, attempts to compromise the site, or is used in connection with fraudulent activity.
  • You can close your account at any time by emailing support@cmtechsoftware.io. Closure deletes your profile but does not delete records we're required by law to keep (e.g. tax records of past payments).

5. Subscriptions and billing

The CM Tech Software Suite — the Soft-Con Tracker, SkillVault, and MyVaultMate modules — is sold and billed on this site as one subscription covering all three; they are not sold separately. When you start a trial or subscribe:

  • Free trial (no card required to start). A trial gives you the whole Suite for 45 days. No payment card is collected to start it, and your trial does not convert into a paid subscription on its own. When the 45 days end, your account is paused: your data is retained and access is switched off. You are only ever asked for a card, and only ever charged, after you explicitly activate billing from your account, at which point the then-current Suite price (currently $499/month, or $4990 if you chose annual billing) is charged and a recurring subscription begins. If you do nothing, you are never billed and there is nothing to cancel. We email you a reminder before the trial ends.
  • Billing interval. You choose monthly or annual billing. Annual billing gives you two months free (you pay for ten months). The amount for your selected interval is shown before you subscribe and is stated on each invoice.
  • How you're billed. Once you have activated billing, your subscription is billed to the card you keep on file: your card is charged at the start of each billing cycle (monthly or annual) at the then-current rate, until you cancel. That recurring charge begins only from your activation — a card on file by itself is never treated as authorization to bill you. Some accounts are instead set up to be billed by emailed invoice (payment link, due within 30 days) rather than by automatic card charge — if that's how your account is configured, it's stated on your invoices, and you can switch between emailed invoices and automatic payment by emailing support@cmtechsoftware.io. Payments are processed by Stripe, Inc., the third party we use to accept electronic payments; by submitting payment information you also agree to Stripe's terms. We never see, store, or have access to your card or debit number, bank-account details, or billing address — none of it is kept in our database or on this website; Stripe collects and maintains all of it.
  • Auto-renewal. Your subscription automatically renews at the then-current rate until you cancel — month-to-month if you're billed monthly, or for another 12 months if you're billed annually.
  • Rate changes. We'll notify you of any change to your subscription rate before it takes effect.
  • Cancel anytime. You can cancel at any time from your account or by emailing support@cmtechsoftware.io. Cancellation stops future billing; your access continues through the end of the current paid period. There's no cancellation fee.
  • Late payments. Overdue invoices may accrue interest at the lower of 1.5% per month or the maximum rate permitted by applicable law.

5A. Founding member program

We offer discounted, uncapped access to the Suite to our first 10 customers ("founding members"). This is a trade, not an unconditional gift:

  • What you get. The entire Suite — every module, uncapped — free for 6 months, then automatically converting to $249/month, billed as one $2988 annual charge, locked in for 1 year. A payment card is required at signup (collected via Stripe Checkout); nothing is charged until the free period ends. Once the lock period ends, billing moves automatically to our standard rate.
  • What we ask in return. A logo (which we may use in our marketing, with your review and consent before publishing), a testimonial once your organization is up and running on the Suite, and a short call once per quarter. You agree to this when you claim your founding spot.
  • The locked rate requires staying a subscriber. If you cancel outright before the 1-year lock is complete, the founding rate is forfeited permanently — resuming later means the standard rate. A payment failure or a disputed charge does not forfeit the rate: you get a grace period and a chance to update your payment method first. Pausing your subscription instead of cancelling also keeps the rate intact.
  • Limited and non-transferable. Founding status is capped at 10 companies, tied to the organization that claimed it, and does not repeat once all spots are claimed.
  • Good faith, not a hard cutoff. We're not going to shut off your account over one missed call. Sustained non-participation may end founding status; if that happens, we'll tell you directly and offer a path to the standard paid plan before anything changes.

6. Refunds and cancellation

We want every customer to feel like the subscription was worth what they paid. Specifically:

  • Free trial: the 45-day trial requires no payment card and is never charged automatically. If you do nothing, the trial simply ends and your account pauses — you are not billed, and there is nothing to cancel. A charge only ever follows your own decision to activate billing.
  • Monthly plans: cancel any time and you keep access through the end of the current paid month; we don't pro-rate or refund partial months.
  • Annual plans: cancel any time and your access continues through the paid year. If something goes wrong on our end, or you cancel shortly after an annual renewal you didn't intend, email us and we'll work it out in good faith.
  • Disputes: chargebacks and disputes filed through Stripe will be handled directly with Stripe; we'd much rather you write to us first so we can resolve it without involving the dispute process.

7. AI-assisted reporting (staff-generated, every plan)

CM Tech Software staff use an AI assistant powered by Anthropic's Claude API internally to help prepare summaries, insights, and recommendations from your account data — across Soft-Con Tracker, SkillVault, and MyVaultMate — which we then deliver to you as reports or account guidance. You do not interact with the AI directly. By using the Suite you agree that:

  • Staff-initiated, not self-service. AI-generated content is produced by our team on your behalf, not triggered by you directly in the product.
  • Output is AI-generated and provided "as is." It is informational guidance to assist you — not legal, financial, tax, or professional advice, and not a guarantee. Any product, cost, lead-time, or vendor information is an estimate you should independently verify before acting or purchasing.
  • What it uses. The assistant works from your existing account data in the product it's summarizing, and only that product. We never send payment-card, bank-account, or password data to it.
  • Visibility. AI-generated reports and any related history are saved to your account, visible to you, and viewable by CM Tech Software staff and administrators for support and quality/safety. See the Privacy Policy for how this data is handled.
  • Availability may change. We may adjust, expand, or discontinue AI-assisted reporting, and Anthropic's model behavior and availability are outside our control.

8. Our Suite

CM Tech Software builds and operates one unified Suite on cmtechsoftware.io — the Soft-Con Tracker, MyVaultMate, and SkillVault modules — under a single account, login, and subscription. When you access any module through cmtechsoftware.io, these terms and our Privacy Policy govern your use. The modules are not sold individually; you have access to all three only while your Suite subscription is active.

8A. Communications and email

When you create an account, submit a form, subscribe to a product, or sign up for our newsletter, you agree that we may contact you by email at the address you provide. There are three kinds of email we may send:

  • Transactional / service email — signup confirmations, password resets, invoices and receipts, security and account notices, and messages needed to operate a product you use. These are part of the service; you receive them while you have an account or active subscription and can't opt out of them separately (to stop them, close your account).
  • General newsletter — an educational content series you receive only after confirming a double opt-in. You can unsubscribe at any time.
  • Module onboarding and education — emails about a module while your Suite subscription (or trial) is active. They stop automatically when that subscription ends, and you can unsubscribe at any time.

Every marketing email (the newsletter and product emails) includes a one-click unsubscribe link, and unsubscribing from marketing email does not affect the transactional/service email tied to your account. We comply with the U.S. CAN-SPAM Act. How we measure email engagement (opens and clicks) is described in section 2.6 of the Privacy Policy.

8B. Affiliate / referral program

We run an invite-only affiliate program for approved partners who refer new customers to us. Affiliates are independent parties — not employees, agents, or partners of CM Tech Software — with no authority to bind us or to make promises about our Suite on our behalf. If you're approved and accept the separate Affiliate Agreement during onboarding, that agreement together with these terms governs your participation. In summary:

  • Commission. You earn 50% of the net amounts we actually collect from a customer you referred, for the customer's first 6 months as a paying customer. It's calculated on money actually received — refunds, chargebacks, discounts (including founding-member pricing), and unpaid or failed invoices reduce or reverse it accordingly. Nothing is earned during a free trial, or during a founding member's free introductory period; if a referred customer is a founding member, the 6-month commission window begins once they start actually being billed, not at signup.
  • How you're paid. Commissions are totaled per calendar quarter and paid by ACH bank transfer on or after the first day of the following quarter to the bank account you provide. No commission is payable until you've completed onboarding — a valid Form W-9 and ACH details — and your affiliate account is active.
  • Taxes. You're an independent contractor responsible for your own taxes. You must provide a valid W-9 (taxpayer identification) to be paid, and we issue a Form 1099 where U.S. tax law requires it.
  • Attribution. Referrals are credited through your unique referral link or code, which sets a first-party cookie in the visitor's browser (see the Privacy Policy). We determine attribution in good faith from our own records, which are final absent manifest error.
  • Conduct. You may not spam, make false or misleading claims about our Suite, bid on our brand names in paid search, refer yourself or your own accounts, or otherwise generate referrals deceptively. Doing so may forfeit unpaid commissions and end your participation.
  • No guarantee; changes. Participation guarantees no earnings. We may change commission rates or program terms prospectively, suspend or remove any affiliate, and withhold or reverse commissions connected to fraud, self-referral, refunds, or chargebacks.
  • Your data. The tax and bank details you provide are encrypted, access-audited, and handled as described in the Privacy Policy; your W-9 / taxpayer ID is purged after a 90-day retention window.

9. Intellectual property

All site and product content (copy, design, blog posts, downloadable resources, and the software that powers our Suite) is owned by CM Tech Software unless otherwise indicated. Your subscription grants you a limited, non-exclusive, non-transferable right to use the product for your business while your subscription is active; it does not transfer ownership of the software to you. The data you enter into the product remains yours. You may share and link to public pages and quote short excerpts with attribution, but you may not copy substantial portions of the site or downloadable resources for commercial use, or reproduce, resell, or reverse-engineer our software, without our written permission.

10. Acceptable use

You agree not to:

  • Use our forms for spam, automated submission, fraudulent inquiries, or harassment.
  • Attempt to access any account, area of the site, or data that isn't yours.
  • Probe, scan, or test the vulnerability of the site without our prior written consent (legitimate security researchers should email us first — we'll usually say yes, and we appreciate responsible disclosure).
  • Reverse-engineer, decompile, or otherwise attempt to derive source code from any executable made available on the site.
  • Use the site or our Suite to violate any applicable law, infringe anyone's rights, or distribute malware.
  • Use automated systems (bots, scrapers, crawlers) to access the site at a rate that interferes with normal operation.

We rate-limit submissions and block obvious abuse. We may suspend access to anyone we reasonably believe is violating these rules.

11. Third-party links

The site contains links to third-party websites (e.g. Stripe, vendor documentation). We don't control those sites and we're not responsible for their content, privacy practices, or availability.

12. Disclaimer of warranties

The site, our Suite, and any downloadable resources are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the site or our Suite will be uninterrupted, error-free, or free of harmful components. Anything you read on the site (including the blog) is general information, not specific advice for your situation — for that, talk to us directly.

13. Limitation of liability

To the maximum extent permitted by law, CM Tech Software's total liability arising out of or relating to these terms, your use of the site, or your use of our Suite will not exceed the greater of (a) the amount you've paid us in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100). We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages (including lost profits, lost revenue, lost data, or business interruption) arising out of or relating to these terms, the site, or our Suite, even if we've been advised of the possibility of such damages. Some jurisdictions don't allow these limitations — in those jurisdictions our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify and hold CM Tech Software harmless from any claim, demand, or expense (including reasonable attorney's fees) arising from your misuse of the site or our Suite, your violation of these terms, or your violation of any rights of a third party.

15. Termination

You can stop using the site at any time. We can suspend or terminate your access to the site (including your account) at any time, with or without notice, for any reason, including any conduct that we reasonably believe violates these terms. Sections that by their nature should survive termination (payment obligations, refunds, IP ownership, disclaimers, liability limits, indemnification, governing law, dispute resolution) survive.

16. Governing law and venue

These terms are governed by the laws of the State of Nevada, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these terms or your use of the site will be brought exclusively in the state or federal courts located in Washoe County, Nevada, and you consent to the personal jurisdiction of those courts.

17. Dispute resolution

Before filing any lawsuit you agree to first contact us at support@cmtechsoftware.io with a description of the issue and what you're seeking, and to give us 30 days to try to resolve it informally. Most disputes can be resolved this way without anyone hiring a lawyer.

18. Changes to these terms

We may update these terms from time to time. If we make material changes, we'll update the "Last updated" date above and notify active customer accounts by email. Continued use of the site after the change indicates acceptance. If you don't agree to a change, your remedy is to stop using the site and close your account.

19. Miscellaneous

  • Entire agreement: these terms (together with the Privacy Policy) constitute the entire agreement between you and us with respect to the site and our Suite, and supersede any prior or contemporaneous communications.
  • No waiver: our failure to enforce any provision of these terms is not a waiver of that provision.
  • Severability: if any provision is found unenforceable, the remaining provisions stay in full force.
  • Assignment: you may not assign these terms without our written consent. We may assign these terms in connection with a merger, acquisition, or sale of the business.
  • No agency: nothing in these terms creates a partnership, joint venture, employment, or agency relationship.
